Terms of Use and End User License Agreement

These Terms of Use and End User License Agreement ("Terms") govern the use of DocZoom Word, the Microsoft Word add-in published by Hoplo S.r.l. ("Hoplo", "we", "us"), and the related access to a DocZoom Studio instance.

1. Parties and product

DocZoom Word is provided by Hoplo S.r.l., an Italian company with VAT / tax code 08450220010, REA MI - 2506530, PEC hoplo@legalmail.it, and registered office at Via Fontana 25, 20122 Milano (MI), Italy. DocZoom Word is an add-in for Microsoft Word. It connects to a DocZoom Studio instance configured by the user or customer. DocZoom Studio is normally provided as a managed single-tenant environment dedicated to a specific customer.

2. Enterprise account required

DocZoom Word requires a valid DocZoom Studio URL, account, and license. The add-in may be available through Microsoft AppSource, but access to the service is managed separately by the customer's organization. DocZoom is intended for business and professional use. It is not intended for consumer use unless Hoplo expressly agrees otherwise in writing. If your organization provides your account, your use of DocZoom is also subject to your organization's agreement with Hoplo and to your organization's policies.

3. License

Subject to these Terms and the applicable customer agreement, Hoplo grants you a limited, non-exclusive, non-transferable, revocable license to install and use DocZoom Word for professional purposes in connection with your authorized DocZoom Studio account. You may not copy, modify, reverse engineer, decompile, rent, lease, sublicense, resell, or make DocZoom Word available to unauthorized third parties, except where applicable law expressly allows otherwise.

4. Microsoft Word permissions

DocZoom Word requires read/write access to the Word document because it may analyze selected text, read document content, generate suggestions, insert text, replace text, translate clauses, anonymize data, and apply edits at the user's request. You are responsible for ensuring that you have the right to process any document or selected text through DocZoom.

5. Customer content

"Customer content" means documents, text, metadata, prompts, queries, selected Word text, attachments, sources, AI outputs, comments, and other materials submitted to or generated through DocZoom. As between you, your organization, and Hoplo, customer content remains owned by you or your organization. Hoplo does not claim ownership of customer content. Hoplo may process customer content only to provide, secure, support, maintain, and improve the contracted service as permitted by the customer agreement, DPA, and Privacy Policy. Customer content is not sold and is not used by Hoplo to train general-purpose AI models unless the customer has expressly agreed in writing.

6. User responsibilities

You must use DocZoom only for lawful professional purposes; keep your credentials secure; use only accounts and Studio URLs that you are authorized to access; review AI-generated content before relying on it; verify citations, sources, legal references, translations, and suggested edits; ensure that documents and personal data submitted to DocZoom may be processed lawfully; and comply with confidentiality, professional secrecy, data protection, and client obligations applicable to you.

You must not upload or process content that you are not allowed to process; attempt to bypass security, licensing, quotas, or access controls; use DocZoom to create unlawful, harmful, deceptive, infringing, or abusive content; use DocZoom to make fully automated decisions about individuals where prohibited by law or without required safeguards; or misrepresent AI output as independently verified legal advice.

7. AI output and professional review

AI outputs may contain errors. You are solely responsible for reviewing and verifying every output before relying on it. Hoplo is not liable for any loss or damage arising from reliance on AI outputs that have not been independently verified by you.

DocZoom uses AI to support legal and document workflows. AI output may be incomplete, inaccurate, outdated, or unsuitable for a specific matter. DocZoom does not replace professional judgment. You remain responsible for reviewing and validating all outputs, including legal citations, source references, translations, compliance checks, anonymization suggestions, and drafting recommendations. Unless expressly agreed in writing, Hoplo does not provide legal advice through DocZoom.

8. Sources and citations

Some DocZoom features rely on document retrieval, legal databases, web sources, customer archives, uploaded attachments, or other configured sources. When a feature is designed to provide source-grounded answers, outputs should be checked against the cited sources. If no source is cited for a claim that requires verification, the user should treat the claim as unverified and should not rely on it without independent review.

DocZoom does not validate the legal form, digital signature, evidentiary value, filing suitability, or procedural validity of a document. If a document must be signed, filed, exchanged, preserved, or used as evidence, you remain responsible for applying the required formalities, including any applicable electronic signature, qualified electronic signature, timestamping, preservation, or filing rules.

9. Third-party services

DocZoom may connect to third-party services for hosting, security, networking, AI models, OCR, speech-to-text, legal databases, web search, email, support, and licensing. The applicable third-party services may vary depending on the customer's configuration. Use of Microsoft Word, Microsoft 365, Microsoft AppSource, and any Microsoft account is governed by Microsoft's own terms and policies. Microsoft is not responsible for DocZoom and Hoplo is not responsible for Microsoft products or services.

10. Availability and changes

Hoplo will use commercially reasonable efforts to provide the service in accordance with the applicable customer agreement. The service may be unavailable due to maintenance, updates, incidents, third-party services, customer infrastructure, Microsoft platform behavior, network issues, or force majeure. Hoplo may update DocZoom Word and DocZoom Studio to improve security, performance, compatibility, and functionality.

11. Support

Support is available at https://www.doczoom.ai/en/support. The public support email is info@hoplo.com. Support scope, response times, and service levels depend on the customer agreement.

12. Suspension and termination

Hoplo may suspend or restrict access where necessary to protect the service, comply with law, prevent abuse, enforce licensing, or respond to security risks. When a customer agreement ends, access to DocZoom Word and the related Studio instance may end. Export, deletion, and offboarding rights are handled under the customer agreement and DPA.

13. Illegal content, complaints, and restrictions

DocZoom is not designed as a public content-sharing platform. However, Hoplo may restrict, remove, disable, or refuse processing of content or accounts where necessary to comply with law, enforce these Terms, protect the service, protect third-party rights, or respond to security or abuse risks. Users and customers may report unlawful content, security concerns, or service complaints through the support channel listed in Section 11. Hoplo will review such reports in a manner appropriate to the nature of the service, the customer agreement, and applicable law.

14. Confidentiality

Hoplo will treat customer content as confidential and will use it only as permitted by the applicable agreement. Customers and users must also protect credentials, confidential information, and access to their DocZoom environments.

15. Privacy and data protection

Use of DocZoom is subject to the DocZoom Privacy Policy: /en/legal/privacy-policy. Where Hoplo processes customer content as processor, the applicable DPA governs that processing.

16. Warranties

Except as expressly stated in the applicable customer agreement, DocZoom is provided without warranties of uninterrupted operation, error-free performance, or fitness for a specific legal, regulatory, commercial, or professional outcome. Mandatory rights under applicable law are not affected.

17. Liability

To the maximum extent permitted by applicable law, Hoplo's liability is limited and excludes indirect, consequential, special, punitive, loss-of-profit, loss-of-business, or loss-of-data damages, except where such limitation is prohibited by law. Any limitation does not exclude liability that cannot be excluded under applicable law, including liability for wilful misconduct or gross negligence where such exclusion is prohibited.

For B2B customer agreements, the parties may agree a liability cap, such as the fees paid or payable for the service during the 12 months preceding the event giving rise to the claim, unless the customer agreement states a different cap.

18. Governing law and jurisdiction

These Terms are governed by Italian law, unless mandatory consumer or customer protection rules require otherwise. For B2B customers, the exclusive competent court is Milan, Italy, unless the applicable customer agreement provides otherwise. If the service is ever offered to consumers, consumer protection rules may require a different jurisdiction approach.
